1. Agreement
By using the StraightCode website (straightcode.lt) or engaging our services, you agree to these Terms of Service. StraightCode is a software engineering agency based in Lithuania. Contact: [email protected].
2. Services
StraightCode provides custom software development services including but not limited to web development, API development, AI/ML integration, web scraping, cloud infrastructure, and DevOps. The exact scope, deliverables, timeline, and pricing for each engagement are defined in a separate project agreement or proposal.
3. Project Agreements
Each client engagement begins with a written proposal or agreement outlining scope, timeline, payment terms, and deliverables. Work begins only after both parties have agreed in writing. Changes to scope during a project are handled through a change request process with updated pricing and timelines.
4. Payment Terms
Payment terms are specified in each project agreement. Typically, projects require a deposit before work begins. Invoices are due within 14 days of issue unless otherwise agreed. StraightCode reserves the right to suspend work on overdue accounts.
5. Intellectual Property
Upon receipt of full payment, all custom code and deliverables created specifically for a client project become the client's property. StraightCode retains the right to display the project in its portfolio unless otherwise agreed in writing. Open-source libraries and third-party components remain under their original licences.
6. Confidentiality
We treat all client information, project details, and technical specifications as confidential. We do not share client information with third parties except as required to deliver the project (e.g., hosting providers, API services). Clients may request a separate NDA before sharing sensitive business information.
7. Warranties and Limitation of Liability
StraightCode warrants that services will be performed with reasonable skill and care. We do not guarantee specific business outcomes (revenue, rankings, conversions) from software we build. Our liability is limited to the fees paid for the specific project in question. We are not liable for indirect, consequential, or incidental damages.
8. Website Use
This website is provided for informational purposes. We make no guarantees about its availability, accuracy, or fitness for a particular purpose. We reserve the right to modify or discontinue the website at any time.
9. Governing Law
These Terms are governed by the laws of the Republic of Lithuania. Any disputes shall be resolved in Lithuanian courts unless otherwise agreed in a project contract.
10. Changes to These Terms
We may update these Terms periodically. Continued use of the website after changes constitutes acceptance of the updated Terms. For active project engagements, terms are governed by the signed project agreement.
